Important Notice

Binding Store Ltd specialises in the supply of professional print finishing and bindery equipment. The majority of machinery sold is used industrial equipment sourced from professional environments and is therefore supplied on a business-to-business basis.

We strongly recommend inspection prior to purchase or requesting a video demonstration where applicable.

Terms & Conditions of Sale – Binding Store Ltd

These Terms & Conditions govern all sales of goods and services by Binding Store Ltd (“the Company”).

By placing an order, the Customer confirms they have read, understood and accepted these Terms & Conditions in full.

1. Definitions

  • Company – Binding Store Ltd
  • Customer – The person or business purchasing goods
  • End User – The party using the goods
  • Finance Company – Any third party providing finance or leasing
  • Goods – Machinery, equipment, parts or consumables
  • Contract – The agreement between the Company and the Customer

2. Basis of Contract

  • All quotations are invitations to treat and do not constitute an offer
  • A Contract is formed only when the Company issues written acceptance (including pro forma invoice or order confirmation)
  • These Terms apply to the exclusion of all other terms unless agreed in writing

3. Business and Consumer Sales

Binding Store Ltd primarily supplies goods on a business-to-business basis.

If you are purchasing as a consumer, your statutory rights under the
Consumer Rights Act 2015
remain unaffected.

4. Pricing and Payment

  • All prices are exclusive of VAT unless stated otherwise
  • UK Sales: 100% payment with order
  • Export Sales: 20% deposit with order, 80% prior to dispatch
  • Goods will not be released until full cleared funds are received
  • The Company reserves the right to adjust pricing prior to dispatch due to increases in costs

Late payments may incur interest at 1.5% per month.

5. Delivery and Export Terms

UK Sales

Delivery times are estimates only and are not guaranteed.

Export Sales

Unless agreed otherwise in writing, goods are supplied Ex Works (EXW) – UK in accordance with
Incoterms 2020

Under EXW terms:

  • The Customer is responsible for collection, shipping and insurance
  • Risk passes when goods are made available for collection
  • The Company accepts no liability once goods leave its premises

Where the Company assists with shipping, this is carried out strictly as agent on behalf of the Customer.

6. Risk and Insurance

  • Risk passes upon collection or handover to the carrier
  • The Customer is responsible for insuring goods in transit
  • The Company shall not be liable for transport damage, loss or delays

7. Customs and Import Responsibility (Export Sales)

The Customer is solely responsible for:

  • Import duties and taxes
  • Customs clearance
  • Compliance with all local laws and certification requirements

The Company accepts no liability for customs delays, refusals, or additional charges.

8. Retention of Title

  • Goods remain the property of the Company until paid in full
  • The Company reserves the right to recover goods where payment remains outstanding

9. Inspection and Claims

Goods must be inspected immediately upon receipt.

Claims must be made in writing within:

  • 14 days (UK)
  • 7 days (export)

All claims must include supporting evidence and original packaging.

Failure to notify within these timeframes will be deemed full acceptance of the goods as supplied.

10. Warranty and Returns

Binding Store Ltd primarily supplies machinery and equipment on a business-to-business basis.

Used Machinery

  • Sold as seen / ex works
  • No warranty unless agreed in writing
  • Non-returnable once accepted

New Equipment

  • Covered by manufacturer’s warranty
  • Returns subject to manufacturer approval

Damaged or Incorrect Goods

  • Must be reported within:
    • 14 days (UK)
    • 7 days (export)
  • Evidence and original packaging required

General Returns

    • No returns accepted without prior written agreement
    • Approved returns may be subject to handling and restocking charges

11. Trade Sales

Goods sold as:

  • “Trade Sale”
  • “For Spares or Repair”

are supplied strictly without warranty and are non-returnable.

12. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability which cannot be excluded under the
    Unfair Contract Terms Act 1977

Subject to the above:

  • The Company shall not be liable for loss of profit, business or production
  • The Company shall not be liable for indirect or consequential losses
  • Total liability shall not exceed the purchase price

The Customer is responsible for ensuring the goods are suitable for their intended use.

13. Force Majeure

The Company shall not be liable for delays or failure caused by events beyond its control, including supply chain disruption, transport delays, or external events.

14. Finance Transactions

Where a Finance Company is involved:

  • The contract is between the Company and the Finance Company
  • The Company’s liability is limited to that agreement, subject to applicable law

15. Health & Safety

Any modifications required to meet local regulations or site requirements will be chargeable unless agreed otherwise in writing.

16. Data and Payment Security

Payment details are handled in accordance with applicable regulations. The Company does not store card details without consent.

17. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the English courts.

The
United Nations Convention on Contracts for the International Sale of Goods
does not apply.

18. Product Information

  • All descriptions, specifications, images and performance figures are provided in good faith
  • Such information is approximate and for guidance only
  • The Company accepts no liability for minor variations or differences
